Hi Don, you know I like the price at $8 per share. Purchasing at
that price would sure be an incentive to get it up to the high teens
so as to make a decent profit. The thing that I expect (and worry)
is that it is the maximum that anyone would have to pay for it and
that they would probably pay a lot less, like maybe a buck a share.
The form states that its the proposed maximum offering price per
share and that its estimated solely for the purpose of calculating
the registration fee on the basis of the average of the high and low
prices as reported on the Nasdaq National Market on February 3, 1999.

If we only knew what this was truly for, it would probably not be so
bad. I am guessing that it is for acquisitions and expansion
(though hopefully not for more buildings that they will later move
out of and rent). If it is for more dilution of our shares to
finance million dollar homes for the board then I am gonna be really
pissed, especially since it doesn't seem that I am gonna get to vote
on it. I bet that there are some big brokerages that have been told
exactly what the money is for.

On second thought, I am really betting on an acquisition or two. At
the moment they have plenty of reserve shares for employees since
they have only issued around $54 million (???) of their available
$70 million. That extra $16 million would be plenty for the board
and employees. I bet they are already just about through with the
acquisition and have the blessings of the majority shareholders
who know all about the acquisition and that is why we are not even
going to be allowed to vote because there is already a majority for
the additional shares.

Hi Don,

My opinion? If I was a bottom-dwelling, scum-sucking, low-life legal-eagle who could easily read this attorneyize, I'd probably have an opinion. As it is, I need to print out two (2) copies, one of which I would begin reading, using the second of the aforementioned quantity that was heretofore referred to, in order to facilitate the referencing of some said articles mentioned in an inappropriately placed paragraph so as to not require much needed and much unwanted flipping of the flipping pages.
