Yeah, I tend to agree. At the same time, there's also the competitive compensation argument. ie. if a CEO's compensation plan pays them significantly less than another's, then the lower paid CEO will go and get another job.

So if most of the companies pull this scam, then everyone has to. Do you see this as an issue? If so, what's the alternative?

Bingo! Most of the options are concentrated in upper management. It's only human nature their focus becomes stock price manipulation and the core business becomes an annoying detail mostly left to the much less compensated troops. This is my first hand observation from working in a telecom software company.
