First let me thank those of you who have
contacted me privately or expressed interest
in my thoughts. Perhaps soon I will be
visiting you directly.

Let me briefly comment on two points that have
been discussed on S.I. recently: timing and
valuation.

1. Timing: I did not invent or make up the
February 17 date. It was included in a formal
legal document...the consent solicitation. It
was announced in a Company press release. The
import is to formally and legally enable the
company, effective on the favorable vote, to
formally act on both the spinoff/ipo and the
major corporate investor.

Beyond that we obviously speculate because we
do not know. But every day, every buy sell or
hold decision...that is exactly what we do.
We sell expecting a stock to go down; we buy
expecting it to go up. My belief is that the
company only formalized consent solicitation
when they were ready to proceed. My belief
is that the "event" will come very close to
the February 17 date. This may be right or
wrong, but it is based on legal, formal,
publicly announced action by the company.

2. Valuation: My estimate is that idt this
year will at least reach 35 dollars a share,
less I would add than its above 40 high. And
I believe that one's best estimate of where
Net2Phone will trade at will be 35 to 45 if
it is a weaker formulation spinoff/ipo and
55 to 65 if it is a stronger one.

Net2Phone valuation is obviously a best guess.
I am not using euphoric numbers from some
internet stock prices. I am trying to think
of a range for a company that has a market
leading position in internet telephony, a
serious and respected e-commerce platform,
hard and consistent records of customer and
revenue growth and product innovation, a hard
customer base of more than one million real
paying customers, publicly announced alliances
and partners with players from yahoo to ibm,
substantial credibility in the internet media
and internet community.

Others should make their own evaluations as
investors. Some will be higher or lower than
mine. But what is important is that investors
realize that idt is now trading in the 14's,
and when the "imminent event" is announced,
we will be valued based on two independent
companies that we now own, idt and net2phone.

My idt valuation is now lower than what many
respected analysts forecast. My Net2phone
valuation is lower than many current internet
stocks with far less real business and far
less credibility; I could argue my price
target is too high, but I could just as easily
argue it is too low. Every investor should
make his or her own calculations and act
accordingly.

Let me express my admiration and respect for
the S.I. Board and the quality of discussion
including different points of view. I hope
to be visiting you soon and wish all of you
well as we approach an exciting moment for
the company and its investors.
