LOR IS ALWAYS A POSSIBLE TAKEOVER TARGET FOR AT&T

AT&T and Satellite Technology
February 14, 1999

It's true Loral Space and Telecommunication (LOR) actually brought the
SKYNET Network from AT&T, but that was before Chairman C. Michael Armstrong
took control. Armstrong the former Chairman of Hughes really understands the
growing satellite industry and their net-worth to building a communications
empire. Lurking behind the purchase of TCI is Armstrong's need to fend off
another future large player in the communications and internet industry,
that being Microsoft who is developing Teledesic a global, broadband
"Internet-in-the-Sky." Using a constellation of low-Earth-orbit satellites.
AT&T's knows it needs to be a part of and have satellite technology network
in order to control internet services in the future. AT&T has been looking
very closely at the amount of hardware (Satellites) LOR now has up in orbit.
The LOR satellite network after Telstar 6 is launched today. Is easily worth
over $3 billion when taking in all LOR subsidiaries.

I would think at the current low stock value price of LOR (19 5/8), AT&T and
many others are looking at LOR as a possible takeover company. They are not
going to wait a year or two and try to take LOR over at a price in the $70
range or wait until LOR becomes a $20 billion dollar company. AT&T by taking
over LOR now will be able to control both cable and satellite communications
and generate over $1.8 billion in fee revenue annually (right away) from
LOR, while also pouring water on Microsoft's 2003 Teledesic hopes. Buying
LOR now gives AT&T the power of Teledesic immediately and beats Microsoft to
the market by 4 years. To top it off, Chairman Armstrong knows the satellite
business from his Hughes day's better then the current AT&T structure.

For around $10 too $15 billion AT&T can own both LOR and GSTRF if they
decide to take the companies over via a hostile takeover. This takeover of
(GSTRF) Globalstar will provide AT&T with the right's to conduct cellular
phone business in all the third world countries Globalster has contracted
with over the past three years, including China. After the proposed purchase
of Tele-Communications Inc. is complete, watch AT&T make a move on Loral
Space and Telecommunications Inc.

The purchase of LOR and GSTRF will give Armstrong the framework required to
better support his TCI cable network operations while also being able to
fend off the surge in satellite Direct TV services which grew subscribers at
a rate of 100% over a year earlier. With the satellite services now becoming
cheaper then the cable services. AT&T needs to purchase a large Satellite
provider so that their investment in TCI Cable does not lose market share to
the growing satellite Direct TV networks and too fend off the cash cow
Microsoft. AT&T can accomplish this takeover now at only one quarter of the
cost of TCI. However, watch out for Microsoft because they also have LOR and
GSTRF in their scopes and may beat AT&T to the punch.

Look for GSTRF being sold for $30.00 per share and Loral Space (LOR ) being
sold for between $42.00 to $45.00 per share to either Microsoft or AT&T this
quarter.

$30 for GSTRF and $42-45 for LOR?? Far too low IMHO. Anyone have any fair value calculations?

Why do buyout rumors always arise during options expiration weeks? Just a cynical thought...
