The only purpose I can see to this is if a suitor holds most or all of the convertibles and wishes to control and or buy out GMGC at as low a price as possible. The key question is who is holding and has held the convertibles.

They usually have a target price and will sell whenever the stock hits that price. For example, lets say I convert X-amount shares at $5...then Auto PC News comes out and I sell at $8 or $9....Then when I see the rally stall (some due to my selling)..I go short on the stock...When the Stock goes back to $5 I cover my short position...and the Cycle continues. The GMGC deal is a little different than most because of the multiple conversion dates.
I do not know if the convertible investors in GMGC will sell all the converted shares..But in most deals like this they sell as soon as possible.
