"...unwind the transaction so that Seller and Buyer are in the same unrelated positions as before the Closing Date...." Plus from 8-k NOW, THEREFORE, in consideration of the promises and agreements set forth herein, the parties, each intending to be legally bound hereby, do promise and agree as follows: "...set forth herein..." if this includes both the contigent items above as well as terms below... Piercy ain't got no bloody pants...because the audited finacials didn't pass the terms "set forth".... His misrepresentations were a clear breach of the contract... ..
