Assuming for the moment that the language of the S3 was not artful, the management bears ultimate responsibility, not the lawyers. The issue points out the importance of good execution and managing for shareholder value. If a mistake were made in the S3, the consequences of the mistake, under your argument, is a lower share price at a time when VLNC management reportedly has stated it would like to do a secondary if only the share price were higher.

Execution fellas. It is the difference. This company has not executed.
