Ranier, thanks very much for your response. I could have simply looked at the PR on the acquisition. It looks as if third quarter
earnings will be reduced by 40 cents CDN per share charge for
restructuring. Do you have any idea what the estimate number was
going to be for the third quarter prior to the purchase?

" Substantially all of the purchase price and costs of acquisition will be reflected as purchased technology (goodwill), and an evaluation of in-process R&D will be conducted to determine the extent of any one-time charges to be taken against income for U.S. GAAP purposes. Additionally, it is anticipated that a one-time restructuring charge, currently estimated at Cdn$2.7 million, will be taken against income during Perle's current third quarter to account for changes in accounting treatment of certain Specialix assets as well as one-time integration costs. "

Perle Systems Withdraws Private Placement. Rainier, I'm calling today to ask about: If any warrents were purchased, $s raised, potential dilution, and the effect if financing is not achieved. Any questions from your perspective? I gut was that the price was sinking due to uncertainties about the dilution. May be less murky now, I've kept some cash on the sidelines, but am not in a rush to reinvest, as a likely market drop might provide better opportunities.

You wrote before when PERL was much higher that it was over it's fair value & the market obviously agreed with your assessment. Any thoughts on a fair value now?

Off topic, obviously those of us on the Q thread would b interested in your recent call regarding the Inet side. Scott
