Mar 17 is a tentative date; it's still an unknown. Most important is that the Internet sector holds up. If the Internet stocks should suffer a nasty drop, the IPO would be postponed due to poor market conditions.

Wall Street Journal reported that America Online (AOL 153 -6 1/2) and
eBay (EBAY 233 +1 7/8) are in talks about forming closer business relationship including AOL possibly acquiring a minority stake in EBAY.

Ziff-Davis Paid $81.4M In Feb 4 Acquisition Of ZDTV (ZD)

(NewsTraders.com)-- Ziff-Davis Inc. (ZD), which sold a one-third stake in ZDTV to Paul Allen's Vulcan
Ventures for $54 million on Feb. 5, revealed today in a regulatory filing that it completed its expected
purchase of ZDTV from an affiliate of Softbank Corp. one day earlier for $81.4 million.

Ziff-Davis, which announced on Nov. 17, 1998, that it planned to exercise its option to purchase ZDTV
from MAC Holdings (America) Inc., hadn't previously revealed the specifics of the purchase, but had
stated in its most recent quarterly filing that it expected the cost to be between $85 million and $95
million.

Vulcan Ventures' intention to make a strategic investment in ZDTV, a 24-hour cable television channel
focused on the Internet and related technologies, was also announced on Nov. 17.

Of the $81.4 million price tag, Ziff-Davis paid $32.8 million in cash, with the remainder funded through the
application of $48.6 million in advances owed to Ziff-Davis by MAC through Dec. 31, 1998.

The cash portion of the purchase price was funded by an advance from ZDTV to Ziff-Davis of the funds
invested in ZDTV by Vulcan Ventures.

In addition, Ziff-Davis agreed to be responsible for the funding of ZDTV during the period in 1999 prior to the
purchase.

Ziff-Davis gave notice to MAC on Jan. 15 that it would exercise its option to buy ZDTV, according to
today's Form 8-K filing.

In connection with the acquisition, Ziff-Davis assumed MAC's obligations under an option granted to
Hughes Electronics' (GMH) DirectTV subsidiary to purchase 5% of ZDTV for $15 million, subject to
adjustment.

Buy recommendation issued by CIBC Oppenheimer & Co analyst, Henry
Blodget, on Friday, coupled with E*TRADE Group (EGRP
+21%)/Goldman Sachs alliance speculation, drawing investors back into the
Internet group. Traders have loitered on the sidelines awaiting the next
theme-based move in the group. The spark was provided today by a Wall
Street Journal report that Goldman Sachs is considering a joint venture or
outright purchase in the online brokerage space. Presence of a theme
evidenced by strong action in secondary online trading plays: Ameritrade
(AMTD +21%), JB Oxford Holdings (JBOH +30%), Siebert
Financial (SIEB +28%), National Discount Brokers (NDB +17%).
Favorable price action in last hour of trading over past two sessions should
boost near-term confidence in the group. If strength in primary Internet stocks
holds, investors should begin searching for the secondary plays that are likely
to be lifted by the trickle-down benefits of a trend reversal.
