Anybody who wants to see the registration statement file by Bid.Com today can of course see it on Edgar. A friend of mine is a CFO of a Nasdaq listed company and prepared/facilitated the registration and listing process for that company on Nasdaq - "no big deal" - the information provided to the SEC is important but straightforward, it is not a big black box. Godin would have had the appropriate people working on the application - securities lawyers and his financial people. Once you get to this process, it is relatively straightforward. It is just the time to process the information, answer any questions that may arise (which I would anticipate to be minimal)and then move forward. The last Special Warrant financing was comprised of shares (that are now tradeable) and share purchase warrants that become exercisable upon a Nasdaq listing. I have no doubt that it will happen.

I think your remarks make good business sense. It would be a big mistake to apply for the Nasdaq listing without decent financials for the 4th quarter and also end of the year (if 12-31-98 is the end of BII's year)

When you think about it, perhaps they waited to this date in order to have their financials complete and audited to accompany their application with the most recent information. Perhaps they are ready to announce the financials to the public now.

Also, they have numbers on the sound cards. I know many are not interested in the cards, but I perceive it to be a real money making promotion that boosts the bottom line.
