World Wide Wireless Communications, Inc. Announces Acquisition of World Service, Inc. and Related Corporations

SAN FRANCISCO--(BUSINESS WIRE)--Feb. 17, 1999--World Wide Wireless Communications, Inc., (OTC BB:WLGS) announced today that, subject to the approval of its Board of Directors, it had acquired World Services, Inc. and its related corporations (WSI).

The Agreement provides for the acquisition of WSI in exchange for 5% of the outstanding shares of World Wide Wireless Communications, which shares shall carry a two-year restriction. The current president and sole shareholder of WSI, Howard Hager, will become a member of the Board of Directors of World Wide Wireless. In addition, Hager will join World Wide in a management capacity as director of Puerto Rican operations.

Hager brings more than twenty years of experience in the telecommunications industry to the company. As a long time innovator in the industry, the company believes his expertise and involvement in its core telecommunications industry will be of great value as it expands its operations nationally and internationally and as it develops and provides additional cutting-edge products and services to its customers.

As reported previously by the company, WSI is one of the leading companies in Puerto Rico specializing in telecommunications solutions for businesses. With forty-five employees, WSI will provide World Wide Wireless Communications with a pre-existing platform for its expansion to the Caribbean and Latin America.

The acquisition of WSI provides World Wide Wireless Communications with an immediate revenue stream of approximately $400,000 per month. WSI is currently generating more than sufficient revenues to meet operating expenses and will generate even greater revenues when able to expand to fill the rapidly increasing demand for its services on the island.

WSI is also contributing nearly $2 million on fixed assets to the new entity. It is anticipated that after the acquisition is complete, the WSI subsidiary will be poised to play an even greater role in the Puerto Rican telecommunications industry and that revenues will soon be on target to exceed the nearly $7 million in annual revenues earned in recent years.
