If you go to the bottom of each of the filings, there are six categories(I think). The first is marked in each of the filings....that the total number of shares controlled by the reporting individual represents less than 5% of the total number of shares outstanding.

if you look carefully, the fine print says:

If this statement is being filed to report the fact as of the date hereof the reporting person has ceased to be the beneficial owner of more than five percent of the class of securities, check the following (x).

this makes sense for peter's filing because he was now at 4.8% at 12/31/98 and it is probable that he was over 5% just before filing this. i have no idea why john bagalay's filing has this checked. did he ever own more than 5% ownership or voting rights?

Schedule 13D
This Schedule discloses beneficial ownership of certain registered equity securities. Schedule 13G
Schedule 13G is a much abbreviated version of Schedule 13D that is only available for use by a limited category of "persons" (such as banks, broker/dealers, and insurance companies) and even then only when the securities were acquired in the ordinary course of business and not with the purpose or effect of changing or influencing the control of the issuer.
