Knickerbocker Receives Notice
From Nasdaq Regarding Listing Requirements;
Company Remains Firm in Its Belief Its Stock is
Undervalued

LAKE FOREST, Calif., Feb. 19 /PRNewswire/ -- The L. L. Knickerbocker Co., Inc.(Nasdaq: KNIC - news) announced it has been notified by The Nasdaq Stock Market that the Company is not in compliance with the $1.00 minimum closing bid price requirement for the continued listing of the Company's common stock on the Nasdaq National Market. The Company has until March 30, 1999 to correct the non-compliance. Nasdaq has informed the Company that, in order to satisfy the closing bid price requirement, the closing bid price must be at least $1.00 per share for a minimum of ten consecutive trading days by March 30, 1999. The Company believes it is in compliance with all other requirements necessary to maintain listing of its stock on the Nasdaq National Market and intends to seek further procedural remedies by requesting a hearing with Nasdaq in the event it is unable to achieve compliance by the specified date.

The Company is evaluating several alternatives dealing with the compliance issues and the market conditions that they believe are causing the stock to trade at the current level, including but not limited to negotiations with current debt/equity holders and seeking the sale of certain of its assets.
