I agree with your entire take on the situation and also think that the dilution is what will enable U.S. Microbics to meet Net Tangible Asset Requirements. You nor I can predict what anyone else will do when they read U.S. Microbics has managed to escape the bulletin boards to become a Nasdaq traded issue.

If and when this happes it will be the first company that I have ever owned that has done so. That ain't hay!! Glad your back and I trust your trip went well.

As you are probably aware..... floorless convertibles are the newest financing method that spell doom to existing shareholders of many small companies that have difficulty in attracting financing.

I am sure that the new U.S. Microbics financing will avoid these death spirals. The last cash impetus/addition into U.S. Microbics indicated they were able to attract a top quality long term investor... that doesn't need to play games. Given continued quality and equitable funding and time.... U.S. Microbics will continue to accomplish its stated goals and continue to reward all shareholders... both old and new.

A Nasdaq listing will be a pleasureable graduation for U.S. Microbics for meeting its stipulated criteria while subsequently rewarding shareholders for their patience. I can certainly wait to see U.S. Microbics meet the Nasdaq Net Tangible Asset requirement criteria. If some jump ship now that is fine... but doing it right before the month of March... when BUGS is expected to deliver goods doesn't seem timely.

Check out the incidentals of how a floorless convertible feature written into desperate funding contracts can ruin shareholder dreams as well as the ability for the company to continually attract new investors.
