Metrowerks and AMD Announce Expanded Relationship to Support AMD
Technologies

Austin,Texas-December 17, 1998-Metrowerks, Inc., (NASDAQ: MTWKF, TSE/ME:MWK) a leading provider of software
development tools for desktop and embedded systems, today announced that the Company has entered into an agreement with
AMD to provide expanded and continual support for AMD technology.

As part of the agreement, Metrowerks will expand support within CodeWarrior for the AMD-K6™ and AMD-K7™ families
of microprocessors. This includes enhancing support for AMD's 3DNow!™ technology and for 3DNow! technology
implemented in AMD third-party products. Metrowerks will also add support within CodeWarrior for developing
applications for Microsoft's Windows CE operating system running on AMD microprocessors and for developing embedded
systems applications running on AMD's family of embedded microcontrollers and microprocessors.

In accordance with the agreement, Metrowerks has also granted AMD a license to use CodeWarrior software development
tools.

Support for AMD's K7 processor will be included in Release 5 of CodeWarrior Professional which features the
award-winning CodeWarrior Integrated Development Environment (IDE). Release 5 is scheduled to ship in early Spring
1999. The K7 processor includes a number of technological breakthroughs, including a 200 MHz system bus and a
superscalar pipelined floating point unit.
