Mr. Harvey Keats reports
The company's brokered private placement with Union Securities totalling

were raised by the company issuing five million units at 20 cents, each
unit consisting of one share and one warrant. Of the five million units
issued, 1,652,500 units are flow-through units. Each flow-through unit,

Of the flow-through units, 1,390,000 were subscribed for prior to Dec. 31,
1998. The shares and warrant shares comprising the 1998 units are subject

received Class B warrants which entitles it to purchase up to 400,000
shares of the company at 20 cents until Feb. 22, 2000. Any shares issued
upon exercise of the Class B warrants are subject to a hold period until
