please read the articles. you question was concerning spielberg. comcast purchased recently class a and could convert it to 5% of class b and amex was also a recent purchase, as to when spielberg went over the 5%, that was recent purchases.

...making the announcement of owning 5% necessary because there are so fewer class B shares. - SEC law states if a person or corp acquires 5% or more of the shares of a corp, they must declare this. the 5% rule allows for investors/corp to know if a company might be acquired or being accumulated. in this case all the filings show this is clearly not the case, but passive investments. there is no requirement the company list at what price they purchased the shares.

a better analysis of comcast, amex, spielberg on acquiring stakes in tmcs may be they see some value in the recent merger of lycos/usa/tncs for companies they own. seeing how tmcs sells at a discount in the deal, if one wants to invest, pick up the discounted party.
