Online Merchant, Update.

Allston, MA March 1, 1999 Stumpworld Systems,
Inc., operators of the virtual shopping mall BuyItOnline™,
today announced the Company has purchased the trademark
and distribution rights to Online Merchant™ software from
Alpha Software Corporation, a wholly-owned subsidiary of
NewKidCo International Inc. (NASDAQ: OTC BB:NKCIF;
TSE:NKC) Stumpworld bought back rights to Online Merchant
the award winning software application that enables any small
merchant to set up an Internet storefront in the wake of
Alpha1s announcement to focus on the children1s entertainment
software market.

Developed by the founder and CEO of Stumpworld, Scott
Matalon, Online Merchant has vaulted into a leadership position
among the top Internet commerce software applications for
small merchants including Yahoo! Store and iCat Commerce
Online. Over 7,000 copies of Online Merchant have been
ordered by major retailers within the first six months of its
release; in addition, over 100 merchants, with 400 more waiting
for admission, have used Online Merchant to set up shop within
buyitonline.com the Internet1s first comprehensive online
mall.

Online Merchant1s ease-of-use has set the standard for the
booming small merchant e-commerce market," said Matalon.
"Stumpworld is committed to enhancing Online Merchant,
supporting and expanding distribution channels for the
software, and has hired Colleen Terry, former Online Merchant
Marketing Director for Alpha Software, to provide support to
our customers and channel partners."

"With our focus being on young children's video games,
Online Merchant no longer fit our corporate strategy," said
Richard Rabins, CEO of NewKidCo International Inc. "We feel
good about the future of Online Merchant in the hands of
Stumpworld because they are fully committed to e-commerce."

Stumpworld offers an upgrade path available with Online
Merchant to allow qualified merchants an opportunity to join the
Company1s BuyItOnline e-commerce community an online
mall that offers comprehensive services including toll-free
customer and merchant services, mall-wide shopping cart and
single-order form processing, secure transaction processing and
consolidated shipping services. The Company is also currently
working on a Professional, transactional version of the
software, and plans to release a Version 2.0 of Online Merchant
before the end of 3Q99.

Online Merchant: The Right Product at the Right
Time:

Internet commerce leapt into the mainstream in 1998 with
consumers spending over $9 billion online according to the
U.S. Commerce Department. Small merchants are demanding
inexpensive and easy-to-use commerce enabling products to
take advantage of this growing retail trend and, to keep up
with this demand, retail outlets are stocking more Internet
commerce products and even devoting entire software sections
to this growing segment, added Matalon.

"Small merchants must become a part of the online retail market
in order to survive yet, most small merchants find themselves
without the resources or technology know-how to take
advantage of the tremendous opportunity available on the
Internet," said Alex Santos, President and Founder, Me2
Communications (www.me2music.com). "Online Merchant1s
ease of use and flexibility allowed me to create and publish my
store on my own, saving thousands of dollars in consulting
fees. I am excited to now be part of the Stumpworld team and
look forward to the many exciting opportunities they have
available to me."
