All stocks must be "Blue Skied" in each individual state otherwise in certain circumstances selling of said security can be a no-no.

Blue skied means ok'd by a particular state's corporations department for sale to the residents of that state.

The last time I looked, any shares traded on a National Exchange including NMS are automatically blue skied.
