On February 10, 1999 CYOE announced it had signed one of their "definitive Agreements" to acquire Apollo Telecom, Inc. (Salt Lake City) for 350,000 unregistered shares of CYOE. But, the transaction "is subject to various, customary closing conditions".

One of those conditions could be DD to see if the 350,000 shares are worth anything. Also is Apollo worth anything? Are they worth as much as the 20% of Crescent Communications "strategic investment" by CYOE?

While CYOE goes to great length to tell us how Apollo is technically astute, and in business since 1993, they fail to tell us what the gross sales or profits are of this heralded acquisition.

We can guess in a world of 7 cents a minute phone charges just how profitable they are. It appears to be just another hapless "switchless carrier", which often can be a small office with lots of Telemarketers.

How did they uncover this little gem in Salt Lake City? Strangely they forget to mention they did this on the anniversary (almost) of an old press release by CYOE issued a year ago on February 17, 1998?

Guess what that one said?

"Coyote Technologies inks 20 million OEM pact with Apollo KK." What ever happened to that "PACT"? Apollo KK of Japan had a commitment to give CYOE $4,000,000 in business in 1998, 6 million in 1999, and 10 million in 2000. How much did CYOE receive in that cozy relationship.

In "about Apollo KK" an interesting fact appeared. "Apollo Telecom, a U.S. -based subsidiary of Apollo KK , is a full service Interexchange carrier .... "(with a Utah area code).

It appears their buddies at Apollo KK in Japan , not content to give them a $20,000,000 pact, have now been willing to provide grist for another hype press release, which will probably also turn out to be major hype.

The most misleading part of the press release, is they do not mention the parent of Apollo , Salt LAke, is an old time press release subject and "customer" of CYOE. The SEC may wish to look at that DEFINITIVE AGREEMENT.

Could it be the whole original Japanese deal was engineered originally by a buddy in Salt Lake City. You never know.
