TMRK will run! Trimark licenses films to Internet
broadcaster

NEW YORK, Feb 23 (Reuters) - The motion picture company
Trimark Holdings Inc. (Nasdaq:TMRK - news) has agreed to
license its library of films for use by Internet broadcaster broadcast.com (Nasdaq:BCST - news),
the companies said Tuesday.

The news sent the shares of both companies soaring on the Nasdaq stock market.

Trimark, whose 1998 film releases included ''Eve's Bayou'' and ''Kama Sutra,'' and broadcast.com
also agreed to a stock swap that will leave each company with a minority stake in the other.

''The Internet is the new media of the 21st century and we want Trimark to be at the forefront of this
new media,'' Mark Amin, chairman and chief executive of Trimark, said in a prepared statement.

He added, ''We believe this deal will, for the first time, allow a significant library of theatrical motion
pictures to be streamed on the Internet.''

Santa Monica, Calif.-based Trimark said the licensing deal initially covers 50 films, including its
''Warlock'' and ''Leprechaun'' series, and will also include first-run films, previews and live
premieres.

''Broadcast.com is the leader in Internet broadcasting, and we look forward to leveraging their
audience of more than 800,000 daily visitors and extensive network infrastructure to exploit new
ways for consumers to view movies,'' Amin said.

The companies said Trimark had agreed to exchange 9 percent of its outstanding stock, or 412,363
shares, for the equivalent value in broadcast.com stock, or 45,858 shares. Broadcast.com has about
17 million shares outstanding.

Trimark shares jumped as much as $2.88, to $9.94, at the Nasdaq open before settling back to
$8.875.

Shares of Dallas-based broadcast.com were up $7.31 to $77.63.

The companies said the licensing agreement is subject to customary closing conditions and approval
by the boards of directors of both companies. They said the deal should be sealed by March 15.
