Who knows how long the street.com has been preparing to file? They aren't spinning off an existing company, so they didn't have stockholders to answer to, report to, or explain to. They could have been preparing this filing for a year and nobody would have known.

I consulted my Magic 8-ball (It has a 63% accuracy rating) but it says : "Outlook Doubtful"
...I'm not really sure if this is a detailed enough synopsis, but I hope this helps a bit. I must apologize; my DD skills are getting a little rusty.....sorry! :-(
