I think the spread is a hangover from the TLAB/CIEN deal where a lot of arbs got killed when the deal fell through. I have pointed this out before, Bankers Trust is being bought for cash ($94) by Deutsche bank, and the stock trades between 84 and 86 (due to the uncertainty with respect to approval by EC and US regulators.) Banking is a heavily regulated industry but that spread is still too high, since US regulators more or less arm twisted BT to join up with somebody larger to insulate themselves from their risky businesses.
