At the risk of sounding like people on the VLSI thread at Yahoo, I just need to say:

Thank You Sweet Jeeeezus!

Now that that is out of my system, here are the scenarios that might play out:

1. Big Al says no thanks. Stock price falls back but not as far as it was because (a) VLSI is now seen by an additional audience as a takeover or merger target and (b) those who were also motivated to look at the fundamentals of the company elected to stay long with it for a while.

2. Big Al and the board say, 'ah-yup - We want to be Royal Philips folks" - and the deal closes without any fuss. In which case, your VLSI shares are worth $17 a share. Roughly half of what they were worth a little over a hear ago, but almost 3x what they were worth last fall. Whether you think this is good or bad depends on large measure what your cost basis is.

3. The announcement attracts other buyers and starts a bidding war. Would this happen? Who the h... knows? But I have to believe that LSI and TXN - not to mention Philips competitors are looking at the combination and assessing what it means to them. And, I have to believe that past rumors and other discussions about acquisitors that focused on like buying like (e.g. LSI/VLSI), there are companies with some VERY deep pockets who compete with Philips who would be looking at VLSI now.

Hi Linda, This isn't the scenario that I'd imagined, but it does give me something more to think about. All those cheap shares we accumulated last fall look better and even your options will pull in about a 10% gain plus whatever premium you were paid. Not bad for a few months work.

I guess this means my Apr. $10 PUTS I sold are going to be an "expire" with me keeping the proceeds. Maybe I'll hit the taverns and do a bit of celebrating!

I've owned VLSI since 1990 - that's a long time! I've almost always had a profit showing. This potential buy-out will do wonders for my net worth. Maybe someone else will come up with a Cash + Stock deal to compete.

Best regards, Tom
