cash per share = 6.34
sales per share = 11.6
even at 20 per share buy out, the effective price/sales is
(20-6.34)/11.6=1.18

Compare to LSI currently:

(26-1.62)/10.45=2.33

The above LSI ratio is deceivingly low since the sales figure includes revenue of recent acquisitions.

Unless Mr. Stein thinks that VLSI business is shrinking so fast with no end in sight, I don't see how he and the board can even let it go at 20. He should just announce that he's listening and the price is not anywhere near his valuation yet. That will give the share holders who think that's all they want the chance to get out. Once that window is closed, he and the rest of the holders should just implement bunch of bitter pills to fight off Phillip.
