AT&T wants AOL's audience, after all, who wouldn't? It's likely given the Bloomberg report that there are some talks going on, but it's not a merger or takeover. My guess is that AT&T is negotiating to purchase Tele-Save (TALK) and offer it's services under the exclusive marketing agreement AOL and Tele-Save have for promoting LD services. It is important for AT&T to do this before the AOL/NSCP merger, as the QWST deal with NSCP to offer LD to it's customers gives QWST similar incentive to acquire TALK. At this point, it appears AT&T has the upper hand, as AOL has made it known that they are anxious to get involved with wireless services, which QWST doesn't have.

Further, QWST recently announced a major marketing and brand name recognition campaign. AT&T has to be concerned that QWST/TALK would present some serious threats to their LD business given the combined power of QWST's and TALK's capacity, current subscriber base, and AOL's internet dominance.
