Web-this is supposition on my part, but i presume that the convertible offering last year included a registration requirement on MRVC in the event that any of the noteholders wanted to dispose of the notes that MRVC had to register the notes and the derivative common. There is undoubtedly a one-time tag-along for all of the other note-holders so that they can elect to have their securities registered or else they will have the expense going forward. As the world already knew this potential supply was out there it shouldn't have any negative impact at this stage and if the company picks up any of the securities on the cheap (like in Q4) it will be positive. Not a big deal from this perspective.

Best regards,

Mike
