Hi Fiducie,

We began the OTC BB process at the beginning of
the year and are looking at a rough timeframe of
mid-May to receive SEC approval, which we need in
order to proceed to the NASD approvals. Basically
the process is as follows:

1. Need a US securities lawyer to file the 20F with
the SEC: this is a long, detailed explanation (roughly
20 pages) of the company's markets, business strategy
and financials. The document is drafted by the lawyer
and edited by BCB until we have the right representation.

2. This document, which should be finalized within the
next two weeks, then goes to the SEC during which
time they have 60 days to process it.

3. Typically they send comments/ questions within
a 6 week period, to which BCB then responds.

4. Once the SEC registration is complete, the process
from there to NASD is straightforward and does not
usually involve a long waiting period..
