Quantum to issue tracking shares

Quantum Corp. (Nasdaq: QNTM) said on Monday that it plans to tracking shares for its hard disk drive and storage businesses, respectively. Tracking shares are valued based on the performance of the business unit. The division's tracking shares are usually majority-owned by the parent company and the unit's employees still work for the parent, but have quarterly reports as if they were an independent company.
"While Quantum remains a single corporation, tracking stock enables the financial markets to value more accurately the earnings potential of our two distinct businesses," said chief Michael Brown in a statement. If shareholders approve the tracking share plan, shareholders would get half a share of the disk drive-business and one share of the tape and storage systems unit for each share of Quantum common stock held. The two tracking stocks would comprise the company's common stock. Quantum would continue to be one company with one board of directors and one senior management. Quantum is working on filing a statement with the Securities and Exchange Commission for the tracking shares. If shareholders give the green light, Quantum said that the new shares could be trading in about six months.
