Patrick,

LSI might make the best fit, but they publicly stated on Saturday that they aren't interested in VLSI. They also acknowledged that they were in talks last summer. This is the first time that I have heard either company publicly acknowledge that they were in talks.

From the LSI thread...http://www.exchange2000.com/~wsapi/investor/reply-8088635

VLSI was wooed last year by LSI Logic Corp., a Milpitas-based
semiconductor maker, but the deal fell apart. ''We did actively
explore the acquisition of VLSI but we decided not to (do it)
because we did not see it as fitting in with our long-term
strategy,'' an LSI Logic spokesman said. He said the company has
no intention of renewing its pursuit of VLSI.

IMO, if VLSI rejects Philips' offer without another offer in sight, the stock will tank. What makes you think the stock will act any differently than it did last summer when the deal with LSI fell apart? So this is a cash deal instead of a stock deal. Big deal. I think the stock is being artificially propped up because they are in play. If they are out of play, I think the stock will fall back to where it was before the offer was announced and then follow the SOX around. Of course, if the deal goes through, then everything that I posted here is a mute point.

Good luck to everyone,

Dan
