Dawg, IMHO you are mistaken about the Board's choice. It is now up to the Board, but if in their infinite stupid wisdom they turn it down, Phillips can easily make a tender offer to the shareholders. Assuming that a majority of the shares are held by arbs/institutions, it will succeed.

IMHO the Board has done the worst possible job of looking out for shareholder value. If they had, Beyer would have long ago negotiated a deal, and Stein would be history.

Just my opinion, FWIW.
