SAN JOSE, Calif., March 3 /PRNewswire/ -- VLSI Technology, Inc.
(NASDAQ:VLSI) announced today that it will hold a special meeting of its
Board of Directors on March 23, 1999 to consider the results of an evaluation
conducted by its advisers of a merger proposal from Royal Philips
Electronics.
In response to the Philips proposal made late on February 25, 1999, VLSI
has retained Morgan Stanley Dean Witter and Hambrecht & Quist LLC as its
financial advisers, and Latham & Watkins and Richards, Layton & Finger as
its legal counsel, to assist the Board in evaluating the proposal. The
Company said that it expects to have no further comment until after the
special Board meeting.
"The entire Board of Directors recognizes the interests of the
stockholders in a complete evaluation of the proposal," said Alfred J.
Stein, chief executive officer of VLSI. "We are confident that Philips
realizes that an appropriate evaluation of the proposal cannot be completed
within the four business day timeframe set forth in its letter. The Board has
an open mind concerning the proposal and will be reviewing the advisers'
evaluation on March 23, 1999."
