Taby, its all posturing. Having started the process, I don't believe that Philips anticipated that today's price of VLSI would exceed the offering price (think back. Did you?) I also have a (warm) feeling that one of the reasons they are wanting to move so quickly is that they sense one or more other companies who also want VLSI. If 17 were in fact the number, clearly somebody else is buying else the stock would not be maintaining its valuation above 17... (Could be that Philips is the one doing the buying, too)

Shareholders would NOT vote to throw the BOD out to be replaced by Philips if they could sense that a price higher than 17 could be gained. On the other hand, if Philips has the votes (e.g. 50% +1 of the voting shares)then they can do anything they want, can't they? And, might they pay a premium for the shares that would allow that? I'll bet.
