Your break-up analysis makes sense to me, but I wonder how much the analog modem business is actually worth. Hayes has gone under. We're looking at a market doomed to obsolesence. (Of course, this begs the question why 3Com bought US Robotics in the first place.)

Eventually analog modems will be doomed to obsolescence, but what will replace them? The market for DSL modems and cable modems will in time grow and COMS is positioned very well for that market. I tend to think that COMS was more interested in US Robotics remote access solutions than their analog modem products, much better margins on the RAS equipment. Also by buying USR they established themselves very well on both ends of the connection . Lets also not forget about Palm Computing, a nice little throw-in.
