I'm not sure I understand all of what you said, but if a reverse merger takes place the PCES shareholders (which includes me) will own part of the new company. Is this right? Is so, that sounds good to me. I know a little bit about public companies, and PCES has a legal obligation to protect the interests of its common sharelholders.

Book value for the preferreds right now is about .73/share......approx on break up.Tax loss carry forwards for 1997 and 1998 total 5,919,578.
There are 2,875,000 Convertible Participating Preferreds o/s with a converion of i for 2 common as I see it.
