Pat your points of comparison between an empty shell and one which has no cash is a good one.With only 5.8 million shares O/S and a public float of 1.8 million(unconfirmed as yet) a reverse split would not be required IMHO especially with 2 million in the bank and the net operating loss carry forwards.With a good business plan and a potential business acquisition this in itself would allow this shell to rise to a share price level acceptable for additional financing and of course the new candidate would also be an asset.
An empty shell however in the same circumstances with alot of shares out has to do a reverse to facilite a 504 financing.IE ISSM another one I am involved in.Take a look at it and their plans of a reverse merge and reverse split to facilitate the 504 financing.These are slightly different.
Keep in mind also that this company also is fully reporting already as a shell.Another thing alot of BB stocks as yet do not conform to and I have seen a few of them recommended or touted by the same people who are calling this a SCAM......I can show you examples if need be.
