Nevada's corporate law was designed to give greater flexibility to management. This does not necessarily mean that it is all bad. The flexibility can be abused of course and that is what everyone is feeling here. The Nevada state legislature designed their laws for corporations to make it inviting for corporations to incorporate there. For many, many years companies felt it was in their advantage to incorporate in Delaware. This is the reason you know of so many Delaware corporations.
