I think the real question here is: what is the value of the tax loss carryforward to an acquiror? Due to the extreme complexity of IRS rules in this area, the number is not easy (for me) to calculate. There are those who know how to do this, but I am not one of them. We need the assistance here of a good tax lawyer/accountant who has dealt with these situations. In fact, I will be starting a thread just to seek out this info (look for New Subjects on this).
