Say, Barber, you paint a rosy picture, but Kensington (KRT-V) was in a similar situation when their deal imploded - it almost cost them the company. I would urge some caution here - investing in PAR is not the sort of thing that new or unsophisticated investors should be involved in unless they are in the stock market to satisfy their urge to gamble! For those that know the diamond game, or the "doing business in China" game, it might be OK to put a (very) small portion of their portfolio here, but my advise would be to take a wait and see attitude - if the deal closes and the financing is available there could be upside potential here. However, there is also still significant downside exposure on this play - if the deal goes sour there will not be much room to get out of this one without taking a bath.
