My guess is that they know that VLSI is in a precarious position regarding their long term survival. VLSI has their own FAB and develop their own manufacturing processes, an rather expensive proposition that is becoming more expensive with each successive technology generation. Given the rather small size of VLSI as compared to other ASIC manufacturers (STM, IBM, LSI, etc.), it is unclear that they will have the resources several years out to develop the leading edge manufacturing processes required for high-speed devices. In terms of other companies wanting to buy VLSI, while it could happen, it is unclear to me as to the assets that VLSI has. They have good, but not outstanding manufacturing, and they have some good communication products. Likewise, their IP is good, but not outstanding relative to the companies mentioned above. It is for these latter reasons that I chose to sell my very small stake at 18 3/16 rather than hope for another offer.
