I don't know what factors influenced the board's decision to seek outside capital. It's a question I'd like to have answered, though.

Any comments on the overall effect of this offering.

We'll have to see the terms of the convertible aspect. I always look at this sort of debt by examining the dilution that will occur if all the debt is converted. The company gets below-market interest rates because the debt is convertible, but the important details about the convertible nature of the debt aren't yet disclosed.
