I did not answer your question earlier for two reasons
1. I thought somebody else would, and
2. We have been VERY busy in the move

YARC is a non-reporting company. This means that we do not file reports with the S.E.C. YARC was taken public by a market maker who in 1997 bought enough free trading YARC stock from past employees to make a float, and then applied to the N.A.S.D. to trade in that stock. Today the float has grown to 6 million shares (out of our total issued common stock of 16 million shares). We never had an I.P.O. We have never filed any paperwork with the S.E.C.

Recently the S.E.C. issued new rules to ensure that companies like YARC make the detailed disclosures that public stockholders expect. Under the rules YARC has nearly another year to file these documents, but the Board has resolved to complete the task as soon as possible regardless of the statutory requirements. This will be quite a financial burden, as the additional costs of hiring auditors insured for S.E.C. work is quite high. We have been lucky to have already had the services of S.E.C. registered attorneys throughout this period.
