IPO or spinoff?

IPO means a sale to the public, but not necessarily
the whole issue. TMO did this many times to raise
capital for newly created subsidiaries. They
called it a spinout. IDTC may yet end up with most of the stock which it could then issue as a dividend to its stockholders or it could have a subsidiary..
I'm not sure of the tax consequences

A spinoff would not be an ipo, just a distribution of the new co stock to IDTC stockholders. The ipo would be a
separate action
