When you die your heirs get the shares at the market value on the day you die, so they have a new basis.

I think you are wrong because one of my childhood friends [she's still a friend] was the daughter of a NYEX listed CEO [now retired]. That company was--and is--an excellent corporation. Her father did not keep all the shares he got via stock options only because of Uncle Sam.
