ANGLETON, TEXAS (March 10) BUSINESS WIRE -March 10, 1999--OverNite Software announced today that it is no longer affiliated with Warren Forthought Inc., has elected a new board of directors, and has named Robert T. Soto chief executive officer, according to Armando Caceres Jr., president and chief operating officer.
OverNite Software is a provider of interactive multimedia training and Web-based business, training and information products. In addition to Soto, new directors are David L. Barkmeyer, previously a senior manager with Dow Chemical Co., and Ronald Ritchie, chairman, VXI Electronics. "OverNite's new board of directors, together with Soto's broad management experience in technology business, quickens the pace as we add new products and serve new markets," said Caceres.

OverNite Software continues to supply Fortune 500 companies with off-the-shelf and customized training programs, and business information systems delivered over the Internet, LAN and by CD-ROM.

The company provides enterprise-wide information solutions delivering Web-based training products for regulatory compliance and other applications. OverNite also develops and supplies technology and tracking systems for various forms of corporate information. A library of over 200 training courseware modules and information products are available to customers.

Robert T. Soto brings significant management and technology experience to his new position. He was previously president and director of NETg (National Education Training Group), a leader in multimedia training for the IT corporate market, as well as president and director of Ampex Video Systems Corp., which supplied graphics, digital effects and switching products to the broadcast industry. Soto has also held top management positions at Valley Data Sciences, Braegen Corp., Ball Corp., and GCA. Soto earned both a bachelor of science degree in engineering, and an MBA degree from UCLA.

David L. Barkmeyer, a new director, has over thirty years of experience in the petrochemical industry serving in senior management positions in human resources management and related functions for Dow Chemical Company. He was also vice president of human resources and public relations for Destec, a Dow Chemical Company. He earned a bachelor's degree in business technology at Texas A&M, and an MBA degree from the University of Houston.

Ronald J. Ritchie, also new to the board, brings extensive experience in technology companies serving in senior executive and director positions for a number of corporate boards. He is currently chairman of VXI Electronics, a supplier of power conversion products, and is a director of SBE Inc., a network communications products company. He also was president and chief executive officer of Akashic Memories Corp., Computer Products Inc., and held senior management positions at Ampex Corp., Canaan Computer Corp., Allied Signal Corp., and Texas Instruments. Ritchie graduated from Southern Methodist University with a bachelor's degree in electrical engineering, and later earned an MBA from Stanford University.

Armando Caceres Jr., has been president of OverNite Software since 1997. He is an early founder of the company, joining the start-up team in 1995 as vice president of production. His responsibilities included product development for computer-based training programs. Prior to joining the company, Caceres was with Dow Chemical for 17 years, where he developed training programs, computer software applications, and held various other positions.

Small world Jubimer. I sat and watched the UPC IPO action - became privy to it through a small speculative holding in AmTec Inc. (ATC). ATC has a partnership with United Holdings (UHIA) for cellular and cable in China. Never made the connection to Melita Cable though. yes, a "little spark" would be nice.

Seems Ampex is gaining presence in new places. Philips web site - philips.com - Hit search and type Ampex. Go to news from Philips, DST mentioned under Film imaging - Phamtom TransferEngine.

FWIW Philips also has a banner ad on AEN.
