Paul - If I understood Proposal 3 correctly, 10% of shares could change or hinder any proposal, e.g. one or two funds could manipulate the rules to their benefit which might not be mine.

I voted with management against it.

Paul, so you are from the "Show Me [the money}" State. Don't know why, but I figured you were residing in luxury in the Silicon Valley.
O.K., if I go, and I am planning on it, I will try to recall my note taking skills from college and report back what I hear.
As far as the voting issues I am usually against any kind of poison pill provision as I think it takes the accountability for results away from management. I do think, however, in AMAT's case that Morgan is doing a great job so I will probably end up voting with management. Jeff
