"USA Talks.com also noted it had sought unsuccessfully to obtain a retraction of the unauthorized publication of certain non-current internal financial projections. According to William H. Ervine, President, "Financial projections are prepared periodically for our own internal use, and it is not our policy to disseminate or update any such projections, which are based on various underlying assumptions which change from time to time. For example, we continue to revise our marketing plans, including among other things, adjusting for the previously announced termination of a marketing relationship with an outside firm that had been considered as an acquisition candidate."

Additional cities, which will be served by new POPs in Chicago, Atlanta and New York and expected to be in service by April 1999, include Atlanta; Birmingham, Ala.; Durham, N.C.; Memphis, Nashville and Knoxville, Tenn.; New York; Washington, D.C.; Stamford, Conn.; Boston, Mass.; Philadelphia and Pittsburgh, Pa; Richmond, Va.; Chicago and Springfield, Ill.; Milwaukee, Wis.; Akron, Cincinnati, Cleveland and Columbus, Ohio; Branson, Springfield, St. Louis and Kansas City, Mo.; Minneapolis/St. Paul, Minn.; Detroit; and Indianapolis and Decatur, Ind.
As the build-out of USA Talks.com's six POPs continues during April and May 1999, service areas are expected to be further extended. USA Talks.com's customers then will be able to make long-distance calls on an unlimited basis at a flat rate from any service area to any location in the continental United States.
Once the five additional POPs are operational and service has been initiated in these covered cities, USA Talks.com intends to focus on upgrading its network through the future integration and utilization of certain of its proprietary technology and know-how in the areas of voice recognition, voice verification and voice compression.

"Further, as previously announced, we extended the test period for our California network, and delayed the commencement of billing in California, as we focused on the improvement of our service in California and the issues attendant to our expansion into new service areas through the five new points of presence currently being established."
USA Talks intends to offer a flat-rate, "all you can talk," telephone-to- telephone, long-distance service using Internet Protocol (IP) with a variety of service and pricing plans from $20 to $60 per month.
