(REUTERS) Omega <ORTH.O> says to be acquired by Pentegra
Omega <ORTH.O> says to be acquired by Pentegra

ACTON, Calif., March 16 (Reuters) - Omega Orthodontics Inc.
said Tuesday it agreed to be acquired by dental practice
management company Pentegra Dental Group Inc. <PEN.A> in a
stock swap with a $3.5 million equity value.
Acton, Calif.-based Omega said Pentegra will issue 1.8
million shares and assume $1.4 million in debt in the
transaction.
The acquisition, which is subject to shareholder and
regulatory approvals, is expected to close in June 1999.
Omega shares closed at 1-1/8 Monday on the Nasdaq stock
market. Pentegra shares closed at 1-15/16 on the American stock
exchange.
