Chris,

PA doesn't have to buy the 3.6 million share unless they get to the $90 range. Some folks have privately voiced opinions to me that this deal was in the works for sometime, and it was decided to clinch the deal now before the open market price became too expensive.

We have to remember that this stock has ROCKETED over the past several weeks.

I'm sure that Vulcan was under some pressure to get their offer accepted before the terms were "overcome by events".

Insiders will have no interest in selling their shares to PA for a mere $90 when they could sell them on the open market for the current price. But it does guarantee(?) them a market at $90 for their stock should the overall market collapse and cause GNET (and everything else) to plummet.

Otherwise, for PA to achieve his 54% ownership of stock he will have to buy it on the open market at current prices. So a possible scenario could be that the price of the shares is bid up in an attempt to force PA/VV to pay market price in order to gain control of the company.

Other thoughts on this? I'm still trying to figure out the repercussions of this deal so I may sound contradictory at times as I think out loud.

Regards,

Ron
