This will be a reverse merger into a shell is the way I understand it and shares will most certainly trade publicly so even though spin-off shares may be restricted you should be able to buy and sell the publicly traded shares once new symbol is open for trading.I will clarify this once I speak to Mr.Tilton T A P has received 700K shares of TNRG from the company for services provided for a period of 1 year.
